Simple Business Registration In Kenya


Following our call for help, we can finally report on how to register a simple business in Kenya. It is our hope that this post will help demystify business registration in Kenya and make it simpler and more accessible to more people.

How To Register A Sole Proprietorship/Partnership In Kenya
The procedure here is pretty easy and should not cost more than Kshs 900/-. Here is what you need to do:

  1. Pick out a business name that you wish to register. Write a simple letter addressed to the “Registrar General”. This letter need only ask the registrar to confirm if your chosen business name is available for registration.
  2. Make your way over to Sheria House, and to the Registrar of Companies within the Sheria House compound.
  3. Go over to counter No 1 and hand in your letter(s). You will need to pay Kshs 100 for every name that you wish to register. This is what is called “business name search”. The process takes three days to a week, max (usually). You will receive a blue receipt.
  4. Three days after handing in your letter, go back to Sheria House and show the attendant your receipt. If your chosen name is available for registration, you will receive a letter from the registrar of companies that, basically, tells you your name search was successful. You will also receive a form, Form BN/2.
  5. What you need to do is fill out Form BN/2 as completely as possible. If you are registering a sole proprietorship, the part where it says “Particulars of proprietor or partners” will bear only one name, otherwise you can put in up to 20 partners (for a partnership).
  6. Go back to Sheria House and hand in your completed Form BN/2. You will need to pay Kshs 800/-. After a week or so, you will have to go back to Sheria House to collect your business registration certificate. Congratulations, you shall then have registered a new business!

Concerning Partnerships
The process of registering a sole-proprietorship and partnership is the same at Sheria house.

However, because of the unique nature of partnerships (the fact that one partnerโ€™s actions can make other partners equally liable) it is recommended that one also registers a partnership deed that clearly defines rights, duties and obligations of all partners.

A partnership deed once drawn up is supposed to be registered as a public document at the Ministry of Lands.

      • Go to sheria house, ask for societies office, they will give you 3 forms… form 9 for the publishers bond as per the newspapers act,form 3 for return of newspapersand an affidavit form which will be stamped and registered in the ministry of lands and certified as a document. the publishers bond has to be signed by the publisher and the printer. Return the three forms duly signed snd fully filled to the sociaties office in sheria house plus 3 copies of the magazine plus 1600shillings if the printer and the publisher are the same but if different return with 2800 and you are good

  10. hi , nice information. but you need to separate sole proprietorships from partnerships , these are two very diifferent things from what i can remember, and their registration procedures should be too.

    Do you have an article on ‘taxation for the small business’? I’m a freelance Graphic Designer, Web Developer, Copywriter and Photographer and have just re-relocated to Nairobi. Trying to figure out the paperwork associated with starting a home-based business for myself. Do you offer consultation services for the same?

    • Hi Paras, and good luck on your business! Unfortunately, we do not have any info on taxing. Being a trained accountant, I would recommend that you get your KRA PIN for you and your business and keep all your books in order. However, I shall write an article on this.

    • An office is not required. You can run our business anywhere you want to!

      However, you need a “trading licence” – usually from city councils, municipal councils, etc depending on where you have set up. This licence is needed only if you open an office where clients/customers will visit.

I was later provided with a piece of paper in the name of a certificate with the “BN ” number. I have never been sure if it is real. How do you confirm if it is real. Must you visit Sheria House or could there be a different and easier way to confirm if i was conned?

    • I dont have any. You letter can only be one sentence long asking the registrar to check if your name is okay for registration in either English or Kiswahili. ๐Ÿ™‚

    • You could save yourself the trouble and red tape at Sheria House and consult Richard (0729593657) for a small fee. He incorporated a company for me quite fast and it was no sweat, just had to sign some forms and he did the rest. He also does business names.

  45. I wanted to know if this business registration is the same if you want to form a company because i am interested in forming a group of companies with each handling a different line of business so can i register the holding company business name and each subsidiary company business name

    • Njoroge, Company and Business Name registration are parallel but different registration systems. In your case, you need to first incorporate the holding company which will then hold majority shares in the subsequent subsidiary companies. For further advice contact Richard of Maverick Incorporations on 0729593657.

    • Mr. Njoroge, to register your business you can either follow the LLC route (limited liability company) or business name registration route (either sole proprietorship or partnership). Business name registration is much simpler and less costly in times of time and cash resources when registering as compared to an LLC, but an LLC accords certain advantages to owners of the company. Usually with a LLC you can set out as many objectives as possible covering different types of businesses. So to meet your specific inquiry, one way is to form the LLC as a holding company and then registering the main business lines under separate business names, in case you want some form of branding for these separate business lines. The other way is to have a holding company which holds at least fifty one pc of each of the other individual businesses also registered in the form of LLCs (thus making them subsidiaries). Call us for assistance on the best business structure to follow that will meet your needs.

  46. I am starting one soon in addition to the online blog that I have. There are some agents that charge 20000/= for limited company and 3500/= for sole proprietorship. Is that worth it, especially after highlighting the ease of doing it personally? Hope not has changed since then.
